Terms of use – API Catalogue

These terms of use (the Terms) are entered into by and between you and the Commonwealth Bank of Australia ABN 48 123 123 124 (Commbank, we, us, our).

1.1 Your use and access

These Terms govern your access to and use of this API catalogue site (the API Catalogue), including all information, data and Interactive Demos which you may have access to through the API Catalogue.

Please read these Terms carefully so that you know and understand them. By accessing or using the API Catalogue, you agree:

  • that you have the legal capacity to enter into a binding legal agreement; and

  • to be bound and abide by these Terms.

If you do not agree to these Terms, you must not access or use the API Catalogue.

We will not charge you for access to the API Catalogue.

These Terms do not govern your access to or use of any APIs or other products, which will be governed by further terms and conditions specific to each API or product (to be provided to you separately). To the extent of any inconsistency between these Terms and any such API or product specific terms, the latter will prevail.

Nothing in these Terms is intended to exclude, restrict or modify rights which you may have under law, including Schedule 2 of the Competition and Consumer Act 2010 (Cth) (the Australian Consumer Law), which cannot be excluded, restricted or modified.

1.2 Changes to the Terms

We may update any of these Terms from time to time by publishing them on this page. Changes are effective immediately when we publish them. By continuing to access and use the API Catalogue, you agree to be bound and abide by any updates to the Terms which are in effect on the date of access or use. If you do not agree to any updates to the Terms, you must not access or use the API Catalogue.

1.3 Third party links

The API Catalogue may contain links to third party sites or materials. These links are provided for your convenience only, and you access those links (and the sites, information and materials contained therein) at your own risk. We have no control over such third party sites, information or materials and do not endorse or take responsibility for them.

You may link to this API Catalogue provided you do so in a way that is fair and legal and does not damage our reputation or suggest any form of association, approval, or endorsement on our part. If requested by us, you must remove any hyperlink to this API Catalogue contained on your website or any other digital content.

1.4 Disclaimer

The API Catalogue and Interactive Demos are made available for general informational and illustrative purposes only, and may change from time to time. The API Catalogue does not constitute complete or accurate product specifications.

Additionally, any Interactive Demos made available on the site are designed to offer a basic demonstration of certain API features only and are limited in scope and functionality. Interactive Demos are not representative of production environments in any given API or product, and you should not rely on any outputs from such Interactive Demos.

While we have taken reasonable measures to ensure that the API Catalogue is accurate, except for warranties which cannot be excluded at law, we do not make any warranties with respect to the API Catalogue, including that the API Catalogue is accurate, complete or fit for a given purpose. We cannot promise that the API Catalogue will be continuously available or free from any computer virus, harmful components, defect or other errors. We may withdraw or amend the API Catalogue without notice to you.

1.5 No unlawful use or interference

You must comply with all applicable law in connection with your use of the API Catalogue.

You must not (either yourself or through a third party):

  • access or use the API Catalogue for any purpose which is unlawful, infringes a third party’s rights or privacy or is contrary to any relevant standards or codes;

  • upload or transmit any material that is offensive, defamatory, obscene, threatening, discriminatory, fake or misleading;

  • introduce, upload or transmit via or to the API Catalogue any viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful materials, or otherwise attempt to gain unauthorised access to, interfere with, damage or disrupt any part of the API Catalogue, the server on which the API Catalogue is stored or any other systems or networks connected to the API Catalogue;

  • reverse engineer, decompile, disassemble or otherwise attempt to discover source code, formulas or processes of any part of the API Catalogue, or use any robot, spider, screen scraper, data aggregation tool or other automatic device or process to monitor, copy or extract from the API Catalogue without our prior written permission; or

  • otherwise do anything that interferes with, hinders the full working of or makes unauthorised modifications to the API Catalogue.

1.6 Further access conditions – API User Account registration and API Key

Access to the API Catalogue (including specific APIs and associated documentation), whether in whole or in part, may be granted at our absolute discretion.

We may require you to register and create an account (API User Account) to access any parts of the API Catalogue and, subject to clause 1.7 of these Terms, may issue you a key to access and use any APIs (API Key). Where this is the case:

  • you are responsible for maintaining the confidentiality of your login details, password and API Key, and you must not disclose or transfer such information to any other person;

  • you are responsible for all activities that take place under your API User Account or through your API Key;

  • if you believe that there has been a security breach or misuse of your API User Account or API Key, you must notify us immediately;

  • you agree that you will not create more than one API User Account and, if we disable or terminate your API User Account in accordance with these Terms, you will not create another account without our permission;

  • you warrant that all information you provide in respect of your API User Account is accurate and up-to-date, and you are responsible for ensuring that such information remains accurate and up-to-date; and

  • we reserve the right to refuse registration of any person, at our absolute discretion.

1.7 Issue of API Keys

An API Key will only be issued if:

  • you have registered and successfully created an API User Account through the process specified on the site; and

  • you agree to be bound and abide by any further terms and conditions that apply to the API Keys and relevant APIs and products.

API Keys are issued on a personal, non-transferable basis and must only be used by you for the purpose of accessing the APIs which we have authorised you to use.

As set out in section 1.6, you must not disclose or transfer your API Key to any other person outside of your organisation. Such disclosure or grant of access will constitute a breach of these Terms.

1.8 Suspension of access

We may suspend or limit your access to all or any part of the API Catalogue or Interactive Demos at any time if we determine doing so is reasonable or necessary, including where you have breached these Terms.

1.9 Commbank’s intellectual property

All copyright and other intellectual property rights subsisting in the API Catalogue is owned or licensed by us.

Subject to you complying with these Terms, you may access, view and use the API Catalogue for general informational purposes in connection with the use of CommBank products and services.

Except as permitted by the Copyright Act 1968 (Cth), you must not otherwise reproduce, transmit, communicate, adapt, distribute, sell, modify or publish or otherwise use the API Catalogue without our prior written consent.

Nothing in these Terms grants you any rights for you to use (or reproduce or modify) any Commbank logos, trademarks or branding.

1.10 Privacy

We take our responsibility to protect your privacy very seriously and use a range of security measures to keep your information safe.

Our Group Privacy Statement should be read in conjunction with any additional privacy disclosures we give you.

1.11 Cookies

Cookies are text files that are downloaded to your computer or mobile device when you access a website. As you browse, cookies gather and store information about the way you use that website.

When you visit or interact with this API Catalogue, we or our authorised service providers may use cookies and other similar technologies for collecting and storing information. 1.12 Limitation of liability

You acknowledge that you may be liable to us for breach of these Terms.

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability (including under the Australian Consumer Law) that cannot be excluded or limited by law.

Except as set out above, we are not liable to you for any loss or damage however arising directly or indirectly with your use of, or access to, the API Catalogue.

1.13 Governing law and jurisdiction

These Terms are governed by and will be interpreted in accordance with the laws of New South Wales, Australia. Each party irrevocably submits to the exclusive jurisdiction of the courts of New South Wales, Australia for any disputes arising in connection with these Terms.

1.14 Definitions

API means the application programming interface developed by Commbank and which may be described or made available on the API Catalogue.

API Catalogue means this API catalogue site.

API Key means a key issued by Commbank to enable you to access and use any APIs.

API User Account means an account created to access the API Catalogue (whether in whole or in part).

Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Commbank, we, us or our means the Commonwealth Bank of Australia ABN 48 123 123 124.

Interactive Demo means any mock testing environment, sandbox or other activity offered through the API Catalogue to enable you to explore, at a high-level, functionality of an API or product in an interactive manner.

Terms means these terms of use.

You means the person accessing the API Catalogue.
